General Terms and Conditions

This is an English translation for your convenience. The legally binding version is the German original.

§ 1 Provider and scope

(1) The provider of vodit pro is PT Voice and Vision Media, Jl. Graha Nusa Dua 24A, 80361 Jimbaran, Bali, Indonesia, represented by its Direktur (managing director) Andreas Koch (hereinafter “we”), email contact@vodit-pro.com.

(2) These Terms apply to the use of the vodit pro desktop software and the members’ area on vodit-pro.com between us and you as a customer (hereinafter “you”). By registering for and using vodit pro, you accept these Terms.

(3) Our offer is directed at consumers and businesses. A consumer is anyone who enters into the contract predominantly for private purposes (§ 13 BGB, German Civil Code). A business is anyone who enters into it in the exercise of their commercial or independent professional activity (§ 14 BGB). Provisions that apply to only one of these two groups are marked accordingly.

(4) Deviating terms of businesses apply only if we expressly agree to them in text form.

(5) Sold through Paddle: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record (seller) for all our orders. Paddle handles ordering, payment, invoicing, taxes and refunds. In addition, the Paddle Buyer Terms apply to the purchase. You receive the right to use vodit pro from us under these Terms.

§ 2 Service

(1) vodit pro is software for macOS and Windows. It compares voice recordings with the corresponding script, detects slips, repetitions, restarts and long pauses, and from this creates an edited project for your DAW (Reaper project, AAF or WAV with markers). Uncertain passages are not cut but marked for review.

(2) vodit pro delivers an edit for your review, not a finished end product. The artistic assessment, the review of the marked passages, the mastering and the acceptance by clients or platforms remain your responsibility.

(3) The software runs on your computer. Recordings, scripts and projects are not stored on our servers.

(4) The scope of service also includes the members’ area (downloads, guides, templates) and updates during the term of the subscription.

(5) The current system requirements are macOS 14 (Sonoma) or later on a Mac with Apple silicon (M1 or later) or Windows 10/11 (64-bit), plus a permanent internet connection. The information on vodit-pro.com at the time of ordering is authoritative.

§ 3 Deepgram account (third-party service)

(1) For speech recognition, vodit pro uses the Deepgram service (Deepgram, Inc., USA). For this you need your own Deepgram account and enter your own API key in the app.

(2) The contract for Deepgram is concluded exclusively between you and Deepgram; Deepgram’s terms apply. You bear the costs of Deepgram yourself once any starting credit has been used up. They are not included in the price of vodit pro.

(3) We are not responsible for the availability, quality or prices of Deepgram. If Deepgram changes its service in such a way that vodit pro can no longer use it in a meaningful way, we will make efforts to provide an equivalent alternative. Your statutory rights as a consumer remain unaffected.

(4) You decide yourself which recordings you transmit to Deepgram, and you ensure that you are entitled to do so, for example in client projects subject to a non-disclosure agreement.

§ 4 Registration and conclusion of contract

(1) To use the service, you need an account on vodit-pro.com. Your information must be true and complete. You keep your login credentials secret.

(2) The presentation of the plans on the website does not yet constitute a binding offer. After signing in, you choose a plan and complete the order in Paddle’s order form. By clicking the final order button there, you purchase the subscription from Paddle. As soon as Paddle confirms the order, we activate your subscription; we show you this immediately afterwards. You receive the order confirmation from Paddle by email.

(3) Before submitting, you can review and correct your entries in the order form.

(4) The language of the contract is German. You can access, save and print these Terms at any time at vodit-pro.com/agb. You can find your order data in your members’ area and in Paddle’s customer portal.

(5) An account is intended for one person. Accounts and login credentials may not be passed on or shared.

§ 5 License

(1) For the term of your subscription, you receive the simple (non-exclusive), non-transferable and non-sublicensable right to use vodit pro. This also applies to commercial use for your own voice-over and production jobs.

(2) You may install and use vodit pro on up to 3 devices that you own or that you use exclusively.

(3) You may not make the software available to third parties, rent it out or operate it in such a way that third parties use it, circumvent license checks, or modify, decompile or reverse engineer the software, except where expressly permitted by law (§§ 69d, 69e UrhG, German Copyright Act).

(4) The rights to your recordings, scripts and results remain entirely with you or the respective rights holders. We acquire no rights to them.

(5) vodit pro itself, including the software, website, guides and trademarks, remains our intellectual property. Apart from the right of use under para. 1, you receive no rights to it.

(6) The right of use ends when the subscription ends. You may continue to use results already created, such as projects, WAV files and REVIEW lists, without limitation.

§ 6 Free trial

(1) New customers can try vodit pro free of charge for 7 days. The trial is available only once per person.

(2) For the trial, you provide a payment method to Paddle. If you do not cancel before the 7 days expire, the trial automatically converts into the paid subscription you selected. The first payment is due at the end of the trial period.

(3) If you cancel during the trial, no costs are incurred.

§ 7 Prices and payment

(1) The prices shown at the time of ordering apply. Currently: monthly subscription EUR 29.95 per month, annual subscription EUR 299.95 per year.

(2) The prices are final prices. Paddle, as the seller, calculates and remits VAT where applicable; it is included in the price shown.

(3) Payment is made in advance for the respective billing period via Paddle, using the payment methods offered there. Paddle issues the invoice and sends it to you by email.

(4) Introductory price: Customers who are among the first 100 keep their price permanently, as long as their subscription continues without interruption.

(5) If a payment fails, Paddle will notify you and retry the payment. You can continue to use vodit pro for 14 days. If payment is still not received after that, the subscription ends and with it your access.

§ 8 Price changes

(1) We may change the prices for future billing periods. We will notify you of a price increase in text form at least 6 weeks in advance.

(2) The increase only takes effect if you consent to it. If you do not consent, either party may terminate the contract as of the date of the planned increase. Until then, the previous price applies.

(3) The introductory price under § 7 para. 4 is exempt from price increases.

§ 9 Term and cancellation

(1) Monthly subscription: It runs for one month at a time and renews automatically for a further month. You can cancel at any time effective at the end of the current month.

(2) Annual subscription: It initially runs for one year and can be cancelled effective at the end of that year. If you do not cancel, the following applies: as a consumer, your contract then continues for an indefinite period and can be cancelled at any time with one month’s notice; we will refund the amount for the period after the end of the contract on a pro rata basis. As a business, your contract renews for a further year.

(3) You can cancel easily: via the “Cancel contracts here” button at the bottom of every page (no sign-in required), in the members’ area under “Settings › Subscription & billing” via “Manage subscription”, via Paddle’s customer portal at paddle.net, or by email to contact@vodit-pro.com. Your cancellation is confirmed to you immediately by email.

(4) You can continue to use vodit pro until the end of the paid period. Refunds are governed by our Refund Policy and the law.

(5) The right of both parties to terminate for good cause without notice remains unaffected. Good cause exists for us in particular if you pass on login credentials, circumvent license checks, fail to pay, use vodit pro for fraud or attacks, endanger the security of our systems, or use the software repeatedly or seriously in breach of contract despite a formal warning. In these cases, we may also suspend access temporarily.

§ 10 Right of withdrawal and refunds

(1) As a consumer, you have a statutory right of withdrawal. Since Paddle is your contractual partner for the purchase, you exercise it vis-à-vis Paddle. The details are set out in the section Right of withdrawal below and in the Paddle Buyer Terms.

(2) Independently of this, our Refund Policy with a 14-day money-back guarantee applies.

§ 11 Availability and updates

(1) vodit pro requires an internet connection for sign-in, license checks and speech recognition. The app cannot be used without a connection.

(2) We strive for high availability of the license server and the members’ area. We do not owe uninterrupted or error-free availability. Brief interruptions for maintenance, updates or due to disruptions at service providers are possible.

(3) During the term, we provide updates that are necessary for vodit pro to function in conformity with the contract and securely. We may further develop vodit pro as long as the agreed core functions are preserved. We will announce changes that significantly impair you in advance; as a consumer, you may then terminate free of charge under § 327r BGB.

§ 12 Warranty rights

(1) Consumers: The statutory rights for digital products apply (§§ 327 et seq. BGB).

(2) Businesses: Defects must be reported to us without undue delay in text form with a comprehensible description. We remedy them, at our option, by means of an update, a workaround or operating instructions.

(3) How accurately vodit pro detects passages depends on the recording quality, script and language. This is why vodit pro marks uncertain passages for review (§ 2 para. 2). The fact that individual passages are not detected, or are detected differently than you expect, is, within the usual range, part of the agreed service.

§ 13 Liability

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, for fraudulently concealed defects, under a guarantee we have assumed, and under the German Product Liability Act (Produkthaftungsgesetz).

(2) In cases of slight negligence, we are liable only if we breach a material contractual obligation, i.e. an obligation whose fulfillment makes the proper performance of the contract possible in the first place and on which you may rely. Liability is then limited to the foreseeable damage typical for this type of contract.

(3) Otherwise, liability is excluded.

(4) vodit pro does not modify your original recordings. Nevertheless, back up your projects regularly. We are liable for loss of data only to the extent that it would also have occurred with customary data backup.

§ 14 Your obligations

(1) You use vodit pro only with content to which you hold the necessary rights, and you comply with confidentiality obligations toward your clients.

(2) You review the marked passages and the result before passing it on to clients or platforms.

(3) In particular, you may not: use vodit pro for unlawful purposes, fraud or spam, infringe third-party rights (for example copyrights), introduce malware, spy on, overload or automatically scrape our systems, or circumvent license checks.

(4) If someone reports an infringement in connection with your use to us (at contact@vodit-pro.com), we will review it and inform you. In the case of repeated or serious violations, we may suspend or terminate your account under § 9 para. 5.

(5) Businesses indemnify us against third-party claims based on unlawful use for which they are responsible.

§ 15 Data protection

How we process personal data is described in our Privacy Policy.

§ 16 Changes to these Terms

We may amend these Terms with effect for the future if this is necessary due to new laws, case law or new features. We will send you the changes by email at least 6 weeks before they take effect. Changes to the main services or prices apply only with your consent.

§ 17 Final provisions

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, the protection afforded by mandatory provisions of the country in which you reside remains unaffected.

(2) We do not participate in dispute resolution proceedings before a consumer arbitration board.

(3) If individual provisions are invalid, the remainder of the contract remains valid. The invalid provision is replaced by the statutory provision.

Right of withdrawal

As a consumer, you can withdraw from your order within fourteen days of the conclusion of the contract without giving any reason. The easiest way is via the “Withdraw from contract” button at the bottom of every page: you immediately receive a confirmation of receipt, and we forward the withdrawal to Paddle, the seller. You can also send the withdrawal directly to Paddle, via paddle.net (look up your order and request a refund), or write to us: contact@vodit-pro.com.

After an effective withdrawal, Paddle will refund all payments to you without undue delay, and no later than within fourteen days, using the same means of payment. The subscription then ends, and with it your access to vodit pro.

The withdrawal instructions and the model withdrawal form in the Paddle Buyer Terms are authoritative. Our voluntary 14-day money-back policy applies in addition.
